Terms of Service & Messaging Program Disclosure

1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between Compfluence, LLC. (“Compfluence,” “we,” “our,” or “us”) and you (“User,” “you,” or “your”) governing your access to and use of the Compfluence incentive compensation management platform, website located at www.compfluence.com, and all related services (collectively, the “Services”).
By accessing or using the Services, or by providing your mobile phone number and consenting to receive text messages from Compfluence, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Messaging Program Description
Compfluence operates a strictly business-to-business (B2B) SMS and voice messaging program. All messages are directed exclusively to employees of franchised automotive or powersport dealerships who have subscribed to or are being onboarded onto the Compfluence platform. Compfluence does not send messages to dealership customers or any consumer end users.
The program includes the following types of communications sent to dealership employees:
- Platform onboarding and account setup instructions
- System alerts, notifications, and updates related to the recipient’s Compfluence account
- Customer support communications
- Billing and account management notifications
Messages are sent from Compfluence using a dedicated phone number or short code. The sending number will be identified in each message.
3. Message Frequency
Message frequency varies based on account activity and the nature of the recipient’s subscription or onboarding status. Dealership employees may receive transactional messages (account alerts, onboarding steps, support replies) as triggered by platform activity
Compfluence does not send unsolicited promotional SMS blasts. Message volume may increase temporarily during onboarding or active support engagements.
4. Consent to Receive Messages
Dealership employees who are added to the Compfluence platform by their employer or who directly provide their mobile phone number through the Compfluence website, platform enrollment, or a written agreement, and who affirmatively consent to receive SMS messages, authorize Compfluence to send text messages to that number for the purposes described in these Terms.
Consent to receive marketing or promotional SMS messages is not required as a condition of using the Compfluence platform.
Compfluence does not collect or use mobile phone numbers belonging to dealership customers (retail consumers). All messaging consent is obtained from dealership employees only.
5. How to Opt Out (STOP)
You may opt out of receiving SMS messages from Compfluence at any time by replying STOP to any message you receive from us.
Upon receipt of your STOP message, we will send you a single confirmation message and will not send further SMS messages to your number, except as required by law or to confirm your opt-out.

Opting out of SMS messages does not cancel your Compfluence subscription or affect any other service terms.

To receive assistance, reply HELP to any message you receive from Compfluence.

7. Message and Data Rates
Message and data rates may apply. Standard carrier messaging and data rates charged by your mobile carrier may apply to messages you send and receive. Compfluence does not charge a separate fee for SMS communications. Contact your mobile carrier for details on your plan.
8. Carrier Disclaimer
Compfluence is not responsible for any delays in the delivery of, or failure to deliver, any SMS message. Mobile carriers are not liable for delayed or undelivered messages. Delivery of SMS messages is subject to effective transmission from your network operator and may be affected by network availability, coverage, and other factors outside Compfluence’s control.
9. Supported Carriers
Compfluence’s messaging program supports all major U.S. wireless carriers, including but not limited to AT&T, Verizon, T-Mobile, and US Cellular. Compfluence does not guarantee message delivery on all carriers or in all geographic areas.
10. Voice Communications
If a dealership employee has provided their phone number and consented to receive calls from Compfluence, they may receive outbound voice calls for purposes of sales, account management, onboarding, or customer support.
- Compfluence will identify itself and the purpose of the call at the outset of any outbound communication.
- You may opt out of receiving outbound sales or marketing calls at any time by informing the Compfluence representative during the call, or by contacting us in writing at support@compfluence.com.
- Compfluence complies with the Telephone Consumer Protection Act (TCPA) and obtains prior express consent before placing autodialed or prerecorded calls for marketing purposes.
11. Acceptable Use
You agree not to use the Compfluence Services to:
- Transmit any content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Use the Services in any manner that violates the Twilio Acceptable Use Policy, the CTIA Short Code Compliance Handbook, or applicable law
12. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, available at www.compfluence.com/privacy. The Privacy Policy is incorporated into these Terms by reference.
Mobile information and SMS opt-in consent data collected by Compfluence will not be shared with third parties or affiliates for marketing or promotional purposes. This data is used solely to operate and improve the Compfluence messaging program and related Services. Compfluence does not collect mobile information from dealership customers (retail consumers).
13. Data Collection and Use
Compfluence collects and processes certain personal and business data in connection with the Services, including contact information for dealership employees, dealership operational data, and compensation-related records. This data is used to:
- Deliver and improve the Services
- Send authorized communications to subscribed dealership employees
- Provide customer support and account management
- Fulfill legal and contractual obligations
Compfluence implements industry-standard security controls to protect data in transit and at rest. Compfluence does not collect or process personal data belonging to dealership customers (retail consumers) through its messaging program. 14. Intellectual Property
All content, software, trademarks, and materials made available through the Services are the property of Compfluence or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes only. No rights are transferred to you beyond this limited license.
15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPFLUENCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPFLUENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF COMPFLUENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPFLUENCE’S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO COMPFLUENCE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
17. Regulatory Compliance
Compfluence’s messaging program is designed and operated in compliance with:
- The Telephone Consumer Protection Act (TCPA), 47 U.S.C. Section 227
- The CTIA Short Code Compliance Handbook
- The Twilio Acceptable Use Policy
- Applicable Federal Communications Commission (FCC) regulations
- All applicable state and federal laws governing electronic communications
18. Modifications to These Terms
Compfluence reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting an updated version on our website with a revised effective date, or by sending you a notification through the Services or via SMS. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms.
19. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Orange County, NC.
